, and the terms of the alienation.
ATTENTION! The compulsory alienation of capital shares is being carried out through the exercise of rights under commercial pledge no. 100175492. This means that the shares being alienated are pledged. Pledged capital shares may not be gifted, exchanged or alienated through other transactions — they may only be sold.
ATTENTION!
The shares to be sold belong to a natural person.
The right to alienate (sell) the pledged assets has been granted to the commercial pledgee (Section 38, Paragraph 2 and Section 42, Paragraph 6 of the Commercial Pledge Law).
Exercising the right granted under Section 43, Paragraph 2 of the Commercial Pledge Law, the commercial pledgee has entrusted the sale of the shares to third parties — agents.
ATTENTION! The commercial pledgee does not conduct the alienation of the shares itself.
ATTENTION! The compulsory alienation of capital shares is conducted in lots. Each lot consists of one capital share. Several lots are offered for alienation at the same time.
ATTENTION!
The price of one lot is EUR 1,667.76.
ATTENTION! Any individual or legal entity, including those from abroad, may purchase a lot without restriction. A 5% discount applies to the price if an offer is made to purchase more than two lots.
ATTENTION! Apart from the lot price stated above, the buyer is not required to make any additional payments, except for postage when returning the share transfer agreement. This provision also excludes any transfer fees charged by the bank where you hold your account.

ATTENTION! The buyer may provide details of the ultimate beneficial owner directly in the share transfer agreement, in accordance with Section 136.1 of the Commercial Law. The shareholder has the right to submit this information to the Commercial Register authority personally. If you intend to do so, indicate this when submitting the application to purchase a lot.

ATTENTION! After signing the share transfer agreement, you must immediately send it to the agent for signature at the address specified in the agreement (B). If you send it by post, you must pay the postage.
ATTENTION! Within three working days of receiving the signed purchase agreement, the agent will send you an invoice for the purchase (lot) (C). The invoice is sent at the agent’s expense.
The share transfer agreement enters into force only when the price of the lot has been paid in full. To comply with Section 189.1 of the Commercial Law, the commercial pledgee will forward the agreement to the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” within one working day (E).
ATTENTION!
There are parties with a right of first refusal over the capital shares.
ATTENTION! Parties holding a right of first refusal may take the buyer’s place in the purchase agreement. In that event, the buyer receives a full refund of the purchase price paid. By becoming a shareholder in SIA “Starptautiskā Rakstnieku un tulkotāju māja”, you also acquire a right of first refusal.
ATTENTION! As the capital shares are being alienated through a compulsory alienation process, the buyer is not required to send anything to the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja”. This is the commercial pledgee’s obligation.
ATTENTION! Upon receipt of the purchase agreement, the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” must inform the parties holding a right of first refusal that the agreement has been concluded and invite them to state whether they wish to exercise that right.
A party holding a right of first refusal may exercise it within the ten-day period, excluding weekends and public holidays, set out in Section 189.1, Paragraph 2, Clause 3 of the Commercial Law. This period runs from the moment the purchase agreement is sent to the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja”.
ATTENTION! This is a mandatory statutory requirement that the commercial pledgee may not ignore.
ATTENTION! If a party holding a right of first refusal decides to exercise it, that party will take the buyer’s place in the purchase agreement by immediately transferring the purchase price specified in the agreement to the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” (Section 189.1, Paragraph 4 of the Commercial Law). The Management Board must return that amount to the buyer named in the purchase agreement (Section 189.1, Paragraph 6 of the Commercial Law).
ATTENTION! If the party holding a right of first refusal does not exercise it, the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” will, in accordance with Section 189.1, Paragraph 7 of the Commercial Law, immediately enter you in the register of shareholders as the new acquirer of the capital share. Within three working days, the Management Board will submit an application to the Enterprise Register of the Republic of Latvia concerning changes to the register of shareholders (Section 187.1, Paragraph 7 of the Commercial Law) (G).
ATTENTION! If the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” refuses to fulfil this obligation, the acquirer of the share will submit the application to the Enterprise Register of the Republic of Latvia through the commercial pledgee. This action completes the sale of the share (lot).
ATTENTION! The entire sales process may therefore take approximately 20–22 working days (A + B + C + D + E + F + G), from the day the purchase agreement is signed until the Management Board of SIA “Starptautiskā Rakstnieku un tulkotāju māja” or the commercial pledgee submits the application to the Enterprise Register of the Republic of Latvia concerning changes to the register of shareholders.
ATTENTION! Section 187.1, Paragraph 9 of the Commercial Law does not specify a time limit for the Commercial Register authority to make an entry in the register of shareholders.
